A boutique real estate law firm located in New York City seeks an experienced Senior Associate – Real Estate/M&A to join their team on a temporary basis with potential for permanent conversion. The position is currently remote.  Candidates in the tri-state area will be expected to be onsite in the New York City office in the coming months. The hourly rate is between $60-$80. 

Primary Duties

The successful candidate will have 4-8 years of experience in corporate, real estate and/or healthcare M&A law, including experience with private equity transactions and transaction financing.  

Requirements

  • Minimum of 4-8 years of related experience required
  • Strong M&A experience, including drafting, reviewing and negotiating real estate purchase agreements, asset purchase agreements, operations transfer agreements, merger agreements, stock purchase agreements, letters of intent and related agreements. Review of title commitments, surveys, and zoning reports; preparation of title/survey/zoning objection letters
  • Experience with private equity transactions conducting corporate/LLC/LP/Trust Filings at the State level
  • Experience representing borrowers in conventional financing transactions
  • Experience representing borrowers in U.S. Department of Housing and Urban Development (HUD) financing transactions
  • Experience with partnership agreements, joint ventures and limited liability company operating agreements
  • Substantial responsibility for closing M&A and related transactions
  • Conducting due diligence reviews
  • Advising clients on general corporate/entity matters and business matters  
  • Strong knowledge of the general business of senior living facilities is a plus
  • History of outstanding academic and professional achievement
