Boutique VC Firm is focused on early-stage technology investments in emerging markets with significant commercial and impact outcomes. The Fund Paralegal role is newly created, affording the successful candidate an opportunity for high value work, with room for significant growth. Working closely with the Fund’s Managing Partners and external Counsel, the Fund Paralegal will assist in handling various aspects of the legal work for the Firm, its funds, as well as portfolio companies from time to time.

Primary Duties:

  • Assist in the preparation and maintenance of formation and organizational documents, partnership, and limited liability company agreements
  • Maintain in-depth understanding of Federal and State securities regulations
  • Prepare and file regulatory filings and notices
  • Organize and coordinate entity subscription agreements
  • Conduct investor suitability due diligence
  • Conduct due diligence review of transaction legal documents
  • Review and manage counterparty contracts
  • Draft resolutions and board minutes for various Fund entities
  • Manage relationships with outside contractors and advisors


  • BA/BS degree require
  • 3-4 + years of experience with transactions in a Law firm, investment fund, Fund of Funds
  • Preference for candidates with experience around Venture Capital transactions and funds
  • Paralegal certificate or qualifying work experience
  • Excellent oral and written communication skills
  • Strong attention to detail with ability to manage multiple priorities and track extensive details
  • Ability to establish and maintain good working relationships with internal and external stakeholders
  • Ability to handle confidential information with high integrity and discretion
  • Ability to work independently and as part of a team in a fast-paced environment
  • Demonstrated initiative, self-starting, and tact under pressure, strong work ethic
  • Proficiency in the Microsoft Office suite
