Corporate Finance Associate (JD Class 2013 - 2018) - NYC/DC
A prestigious law firm located in New York City seeks to hire a Corporate Finance Associate (JD Class 2013 - 2018) to join a diverse corporate practice with a focus on transactional finance in its New York City or Washington DC office. Salary is open depending upon experience.Primary Duties
- Represent financial institutions, corporate borrowers, and private equity firms in a wide range of banking and finance transactions, including cross-border. These transactions include secured and unsecured commercial lending, project financing, acquisition financing, energy and utility financings
- Draft and negotiate loan documentation (including credit agreements – syndicated and bilateral, term and revolving, single and multi-tranche; guarantees; security agreements; account control agreements; inter-creditor agreements; subordination agreements; and pledge agreements) and legal opinions
- Conduct regulatory due diligence
- Conduct legal research and analysis
- Review U.S. corporate documents in the context of lending transactions
- Communicate and correspond with colleagues, clients and other counsel
Requirements
- JD degree required (JD Class 2013 - 2018). Must be admitted to practice law in the State of New York and/or District of Columbia
- Stellar law firm employment history (limited changes since graduation)
- Must have extensive transactional banking (including secured lending), debt capital markets, private placement financing and 144A debt financing experience, including familiarity with bond indentures
- Prior finance experience representing financial institutions, private equity firms and corporate borrowers
- Prior experience executing finance-related transactions, including commercial lending, project finance, acquisition finance, energy and utility finance
- Prior experience in drafting and negotiating loan documentation, legal opinions, closing certificates, authorizing board resolutions and other customary closing documents; experience with indenture and 144A debt offers
