WTI, Inc., parent company to engineering, environmental and technical service companies since 1955 and headquartered in Phoenix, Arizona, is seeking to hire a Counsel and corporate secretary. 

Job Overview:

Reporting to the President, the General Counsel provides legal strategic guidance, consultation, and support on a comprehensive range of legal and business issues. This position is responsible for the oversight of litigation and review of all contracts and leases. This position handles procurement and management of insurance, corporate secretary duties, subpoena responses, and debt collections support. General Counsel provides business initiatives, is involved in contract negotiations, and manages risk mitigation. General Counsel must stay up to date on current federal, state, city and county laws and regulations that may affect the company’s business interests. 

Essential Duties:
Review problem situations and oversee related negotiations, litigation and insurance management.
Draft, negotiate, and review all contracts, including transactional documents, client contracts, business partnerships, leases, vendor and license agreements, confidentiality agreements, consulting services agreements, and other contracts as required. Advise leaders of contracts status and updates as needed.
Review and research laws and regulations affecting the organization.
Identify risks and propose alternative actions to mitigate them while expanding the business.
Provide general advice and direction to leadership; collaborate with Finance, Operations, Human Resources, and Compliance leaders to assure legal adherence and avoid operational issues.
Manage company corporate records and intellectual property rights. 
Draft transactional documents associated with acquisitions.
Other job duties as assigned.
Qualifications:
Juris Doctorate degree accredited by the American Bar Association, required.
Active member of the Arizona State Bar, preferred.
Strong understanding of Construction Industry, preferred.
Minimum of 5 years’ experience.
Demonstrable maturity, professionalism and gravitas.
Ability to work with others in a collaborative and solutions, focused manner to achieve objectives.
Able to work to deadlines and adapt to rapidly changing conditions; ability to generate effective and pragmatic solutions to new situations and problems as they are presented.
Ability to develop and implement legal strategies and solutions.
