Senior Legal Counsel

Entrepreneurial pharmaceutical company outside of Frankfurt, Germany seeks a Senior Legal Counsel to join its Corporate Legal Department.  The position will initially sit in Germany for a period of two to three years then relocate to the company's U.S. location in New Jersey.  Here's the rub (and there is always a rub), the New Jersey location is not yet finalized.  Relocation assistance to Germany will be provided.  The compensation package consists of 115,000 euros (roughly $135K) plus a 10% bonus. Note that German language skills are not required but certainly are a plus.

Primary Duties

The Senior Legal Counsel will provide legal advice along the entire value chain of the company's products, from development through manufacturing to marketing. One of the main tasks will be drafting, reviewing and negotiating agreements with a special focus on licensing (in- and out-licensing), manufacturing and co-development agreements. The Senior Legal Counsel will be part of an agile, entrepreneurial and committed team and will collaborate closely and directly with the business functions globally and locally.   Additional functions include the following:

  • Providing pragmatic and timely legal advice to all companies within the group (in particular to the German holding company) on all commercial legal matters including pharmaceutical and antitrust law related matters
  • Drafting, reviewing and negotiating a wide variety of commercial contracts in English and German, such as development, manufacturing, supply, distribution, clinical trial agreements, however, with in-depth knowledge of in- and out-licensing agreements, co-development and R&D collaboration agreements as well as respective heads of terms/letters of intent
  • Assisting with international M&A projects (share and asset acquisitions), including drafting (or assisting to draft) all sale and purchase documentation and participating in the due diligence process
  • Handling legal disputes, investigations of authorities and managing external counsel
  • Developing standard agreement templates
  • Providing trainings for internal clients 

Requirements

  • University degree in law and second State Exam in Germany or qualified lawyer in the US or UK in each case with above-average grades
  • Admitted Attorney in good standing
  • At least four (4) years of PQE, preferably gained with a specialized law firm or as an in-house lawyer in the life sciences industry
  • Experienced in drafting and negotiating commercial contracts typical within the life sciences industry
  • Fluent command of English and preferably German (however, German is not mandatory)
  • Ability to work in an agile and effective manner with minimal supervision
  • Good communication skills and ability to work in a team environment
