Paralegal - Corporate & Litigation - NJ

Global pharmaceutical company located in North, NJ seeks a Paralegal - Corporate & Litigation.  The salary range is between $76K  - $95K plus target bonus (6%-8%). Spanish fluency is preferred, but not required; Portuguese is a plus.   

Primary Duties

The successful Paralegal - Corporate & Litigation will assist the Corporate and Business Affairs, Litigation, Latin America and Manufacturing attorneys with the following.

Key Roles and Responsibilities:

  • Creating and/or maintaining corporate minute books for U.S. affiliate and international subsidiaries of U.S. company, such as drafting corporate shareholder/board of director resolutions, secretary certificates, and certificates of authorizations, including assisting with preparation for Board of Directors meetings and working closely with outside counsel in Latin America in connection with annual filing reports and amendments to corporate documents/resolutions on an as needed basis; legalizing/apostille documents for use in foreign countries;
  • Assisting with translations and development of training materials for Latin America subsidiaries; at times helping with formation/dissolutions of corporations, and supporting attorneys in corporate business transactions (such as licensing, manufacturing and mergers and acquisitions) in connection with closings, preparing/maintaining closing checklists, obtaining signature pages, drafting and obtaining consents and notices in connection with the transactions, obtaining certificates of good standings, manage documents/files in large scale transactions, organize and maintain commercial transaction document database, etc.;
  • Drafting correspondence and simple day to day agreements based on pre-approved templates, such as confidentiality agreements, documenting inter-company transactions; experience working with registered agents, maintenance of manufacturer state licensing requirements; maintaining/tracking contracts requests/contracts and other supporting documents for Latin America region; and ability to work as an integral part of the team to support various business groups in the company;
  • Assisting litigation attorneys with case management for litigation matters and in response to subpoenas or government regulatory investigations including maintaining pleadings and other files, reviewing document production requests, determining scope and identifying required resources, and conferring with lead attorney on most efficient and economical approach;
  • Drafting and disseminating document preservation notifications to relevant parties and interfacing with Information Technology (IT) partners to ensure appropriate preservation of systems, databases and other electronic records; work with lead attorney to assess preservation requirements following an employee’s departure or a system’s de-commissioning; and
  • Coordinating of eDiscovery process including identifying and interviewing custodians and reviewing potentially discoverable documents; working with eDiscovery outside vendors to have electronic data collected, processed, and loaded into a database platform in preparation for review and/or production.

Qualifications

  • Bachelor’s Degree and/or paralegal certification required
  • Minimum 2-5 years prior corporate paralegal experience at law firm and/or in-house legal department is required
  • Proficiency in the use of Microsoft Office (e.g., Word, Excel, PowerPoint) is required
  • Excellent communication and organizational skills with the ability to independently prioritize and manage multiple projects simultaneously is required
  • Spanish fluency is preferred, but not required; Portuguese is a plus
  • Registered Notary Public strongly preferred
  • Excellent oral and written communication skills
  • Litigation Paralegal experience preferred
  • General knowledge of Lotus Notes is a plus
  • Experience with pharma clients is a plus
  • Familiarity with Microsoft Office 365 Security and Compliance Center is a plus
