Assistant General Counsel

A premier financial services company located in midtown Manhattan seeks an Assistant General Counsel for its outstanding corporate legal department.  Salary and bonus are competitive.

Primary Duties

This position is ideal for a talented and motivated attorney with experience advising on venture capital strategies and who excels in a collaborative, team-oriented environment. Reporting to the General Counsel, the Assistant General Counsel’s responsibilities will include reviewing and drafting client and vendor agreements, advising on private investment funds, securities and banking laws, and other regulatory and general corporate matters for a privately-held wealth management firm that includes a bank holding company, state and national banks and trust companies, an SEC registered investment adviser, and an SEC registered broker-dealer. The Assistant General Counsel will also provide similar services to a private securities investment company.

The Assistant General Counsel will execute their responsibilities as a member of the General Counsel’s office, which consists of six-lawyers and four paralegals.  Additional duties include the following:

  • Draft, review, and negotiate a variety of client and commercial agreements, including vendor technology and outsourcing arrangements
  • Draft, review, and negotiate private fund offering and other investment vehicle documents and contracts
  • Assist and/or take the lead in the development, refinement and supplementation of regulatory policies, practices and procedures and advise on securities, and banking laws, as well as CFTC, ERISA and other rules and regulations
  • Identify and analyze general corporate and corporate governance issues and draft related documents
  • Advise client administration team on account opening and maintenance issues
  • Work closely with legal and compliance colleagues and partner effectively with business and operational teams
  • Serve on internal working groups and committees
  • Assist with and/or take the lead on special projects and other assignments as needed

Requirements

  • Member in good standing of the New York or New Jersey bar
  • 3-5 plus years of professional experience in a law firm or in-house at a financial services firm
  • Experience negotiating technology and outsourcing agreements a plus
  • Experience with private investment funds, securities and banking laws and regulations
  • Excellent written and oral communication skills
  • Prudent judgment and high level of integrity
  • Ability to handle multiple tasks and prioritize effectively
