Paralegal – Wealth Management  (NYC)

A premier financial services firm located in New York City seeks a Paralegal – Wealth Management to support the Legal Department.  Compensation is competitive with an attractive benefits package.

Primary Duties

The Paralegal will support the Legal Department with respect to core departmental functions.

Key Roles and Responsibilities:

  • Prepare, review, and approve private fund subscription documents and assist with overall formation and administration of registered funds and private investment vehicles
  • Prepare and review standard service provider agreements, NDAs, Secretary’s Certificates and other documents
  • Facilitate the sales and transfers of unregistered fund interests
  • Prepare corporate resolutions and regulatory filings such as 13G, 13F, and 13H filings
  • Organize meetings and prepare their related materials including but not limited to meeting minutes
  • Monitor and respond to requests submitted to the Legal Department inbox
  • Track contracts and other legal documents, as well as assist with the transfer of documents from legacy to new contract management system
  • Respond to requests from Internal Audit and other business teams
  • Assist with other projects as needed

Requirements

  • Bachelor’s degree is required
  • Paralegal certification is a plus
  • 5+ years of experience as a corporate paralegal is ideal with 3+ years as an in-house corporate law department or law firm preferred
  • Prior experience in a mutual fund, private fund or other corporate financial services or law firm environment with exposure to securities law matters preferred
  • Knowledge of SEC and FINRA rules applicable to investment funds is a plus
  • Prudent judgment and high degree of integrity and discretion
  • Excellent written and oral communication skills
  • Ability to manage and appropriately prioritize multiple tasks  
  • Highly organized, detail oriented, able to meet deadlines and is a flexible team player who is eager to take on new responsibilities.
