Corporate Secretary

Fortune 500 financial services company located in North NJ (convenient commute via NYC public transportation) seeks a Corporate Secretary.  If desired, the position can split time between the NYC and North NJ office.  This function is at the Executive Director or Director level, depending upon experience.  Compensation for the Executive Director is $300K to $350K, including bonus and at the Director level, $200K to $250K, including bonus.  Twenty percent domestic travel is expected.

The Big Picture

This is a key role that reports directly to the head of the Bank and requires an executive professional with exceptional expertise in the corporate governance process and understanding its significance in a heavily regulated bank environment and basic knowledge of corporate and securities law, with expert knowledge of corporate board governance practices. Plus, superior written and verbal communications skills, ability to maintain strict confidentiality, and meet multiple competing priorities and demanding deadlines are required. Additional duties include the following:

  • Coordinating and attending board and committee meetings
  • Preparing materials for Board of Directors, Board Committee and Management Committee meetings
  • Drafting comprehensive meeting minutes
  • Reviewing and distributing board materials through electronic or hard copy delivery
  • Addressing outstanding Board meeting action items in the Board Meeting (from prior meetings)
  • Ensuring draft documents are easily discerned from final versions and adhere to document retention standards
  • Assisting in execution of the Terms of Reference/Mandate and obligations of the Board
  • Coordinating director calendars (ensure appropriate number of meetings and director attendance to fulfill quorum and voting requirements)
  • Developing and organizing Director orientation and education programs
  • Overseeing control and updates of all Bank policies, including maintaining a calendar for the Board's review of appropriate policies
  • Serving as a liaison for directors, officers, and the Bank's primary shareholder
  • Maintaining key corporate documents and records
  • Taking primary responsibility for anticipating and addressing the Bank's corporate governance needs
  • Liaising with Bank Management, Finance, Compliance and Legal personnel
  • Being sensitive and intuitive to the demands of the Board Chairman, Bank CEO and its Directors
  • Other management and corporate responsibilities, as assigned

Compensation

  • Executive Director level:  $300K - $350K (including bonus)
  • Director level: $200K - $250K (including bonus)

Required Skills

  • Bachelor's degree required
  • JD or paralegal experience strongly preferred 
  • 5+ years in Board Corporate Secretary experience preferred
  • A thorough understanding of the Bank's business
  • Basic knowledge of corporate and securities law, with expert knowledge of corporate board governance practices
  • Experience with drafting, editing and producing corporate minutes
  • Experience dealing with Board of Directors, Board Committees and Management Committees
  • Ability to lead and work within a multi-disciplinary setting to achieve consensus
  • Excellent computer skills, including Microsoft Office
