Title: Paralegal

Location: Radnor, PA    

As a dynamic and resourceful professional, we will rely on you to perform the following duties:

  • Assist in preparing for annual meetings, quarterly meetings, and board meetings; including but not limited to:
    • SEC/NYSE filings and administrative functions.
    • Assist with 10-K, 10-Q and proxy preparation, including director and officer questionnaires.
    •  Assist in the administrative preparation and filing of Forms 8-K with the SEC.
    • Prepare and file required annual certifications and other periodic filings with the NYSE.
    • Coordinate insider-trading communications and manage trading blackout periods.
    • Assist with board and board committee meetings by coordinating agendas, preparation of board materials and organizing and distributing information prior to meetings and assembled for distribution.
    • Ensure compliance with the Board regulatory policies and guidelines.
  • Licensing:  Responsibilities include monitoring of acquisition and on-going maintenance of Company’s Mortgage Banking licenses in all States and the acquisition and maintenance of individual underwriting licenses required to be compliant.  This includes all activities, project planning and keeping abreast of State and National changes to ensure compliance.
  • Renew relevant corporate and individual licenses in NMLS and coordinate education for renewals for employees who hold individual licenses.  Monitor education so that it is completed in a timely fashion
  • File quarterly and annual reports in all states where appropriate for all entities including mortgage call report.
  • Manage corporate policies for all entities including Bermuda for all departments and have every policy reviewed according to each policy schedule. Schedule policy committee meetings when applicable.
  • Work with Sr. Licensing Specialist on immigration matters including but not limited to H1B transfers for new employees, H1B renewals, green card filings, OPT extension, EAC cards and H1B cap filings. 
  • Prepare draft answer to any RFE’s received.
  • Provide administrative support and project support to the Chief Legal Office and perform other duties assigned by management.

Minimum Education & Experience Requirements:

  • Minimum of five (5) years of experience in a mortgage company legal/compliance department with knowledge of SAFE Act, licensing, statues, rules, regulations, including upcoming legislation.
  • Knowledge of NMLS Licensing and ability to navigate through the government system.
  • Experience in a publically traded company.
  • Bachelor’s Degree and Paralegal Certificate required.
  • Knowledge of immigration filings and laws/regulations are helpful but not required.
  • Experience in project management preferred.
  • Must be highly detailed oriented.
  • Proficient in Westlaw and research.
  • Knowledge of legal, real estate, court and insurance terminology and procedures.
  • Proficient in Microsoft Office Suite, PowerPoint, Visio, and Adobe.
  • Solid understanding of loan documents, underwriting/QC, title, and  leases.
  • Ability to work closely with Senior Management. 
  • Strong communication skills, both verbal and written.
  • Must maintain confidentiality.
  • Ability to research statutes concerning mortgage lending.
  • Excellent time management skills with the ability to manage multiple priorities with conflicting deadlines.
  • Ability to work productively as part of a team and as an individual contributor.
